3. Fees & Payment

Service fees, setup fees, and billing terms are set out in your specific agreement or order. Unless stated otherwise, ongoing services are billed monthly and are month-to-month. Fees are non-refundable except where expressly stated (for example, a written guarantee).

4. Guarantees

Any performance guarantee we offer (such as a setup-fee-back guarantee) applies only as described in writing at the time of your purchase and is subject to the conditions stated there. Examples and figures shown on our website are illustrative and not a promise of specific results.

5. Your Responsibilities

• Provide accurate information and timely access to the accounts, numbers, and tools needed to deliver the services.
• Use the services lawfully and in compliance with applicable rules, including those governing calls, texts, and marketing communications.
• Maintain your own licenses, permits, and insurance required to operate your business.

6. Coaching & Licensing Content

Our coaching, mentoring, and licensing-preparation materials are educational. They are not legal, financial, or professional licensing advice, and we do not guarantee that you will pass any exam or achieve any particular business outcome.

7. Intellectual Property

All content, software, systems, and materials we provide remain the property of Hersch AI or its licensors, except for your own business data and content, which remain yours. You receive a limited, non-exclusive right to use our deliverables for your business while your agreement is active.

8. Your Data

You own your business data, leads, contacts, and conversation history. Our handling of personal information is described in our Privacy Policy. If you end your engagement, we will provide a reasonable export of your data on request.

9. Third-Party Tools

Our services may rely on third-party platforms. We are not responsible for the availability, performance, or terms of those third-party tools, and your use of them may be subject to their own agreements.

10. Disclaimers

Our services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the services will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Hersch AI will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to the services will not exceed the amount you paid us for the services in the three months before the claim arose.

Either party may end an engagement as described in the applicable agreement. We may suspend or terminate services for non-payment or violation of these Terms.

We may update these Terms from time to time. The "Last updated" date above reflects the latest version, and continued use of our services means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the state in which Hersch AI LLC is organized, without regard to conflict-of-law rules.
